Distance Sales Agreement Last Updated: July 30, 2026 This Distance Sales Agreement ("Agreement") is entered into electronically between RestoCor ("Seller") and the individual or legal entity ("Buyer") who purchases a subscription or service through the Platform. By completing an order through the Platform, the Buyer acknowledges that they have read, understood, and accepted this Agreement in its entirety. 1. Parties Seller Company: RestoCor Email: info@restocor.com Buyer The individual or legal entity purchasing services through the Platform. 2. Subject of the Agreement The purpose of this Agreement is to define the rights and obligations of the parties regarding the digital services purchased electronically by the Buyer. 3. Scope of Services RestoCor may provide the following digital services: QR Menu creation Digital restaurant management Menu management Branch management QR code generation AI-powered content generation Digital ordering management Tablet Menu Analytics and reporting Other services included in the selected subscription plan The scope of the purchased service depends on the subscription plan selected by the Buyer. 4. Orders and Payments The Buyer purchases a subscription plan through the Platform. Payments are securely processed through third-party payment service providers. Unless prevented by a technical issue, the purchased service is automatically activated shortly after payment has been successfully completed. 5. Delivery of Digital Services RestoCor provides digital services only. No physical products are shipped. The service is deemed delivered once it has been activated and assigned to the Buyer's account electronically. 6. Subscription Certain services are offered on a monthly or annual subscription basis. During the subscription period, the Buyer may use the features included in the purchased plan. If the subscription is not renewed, access to paid services may expire at the end of the subscription period. 7. Buyer's Responsibilities The Buyer agrees to: Provide accurate account information; Keep account credentials confidential; Not share their account with third parties; Not use the Platform for unlawful purposes; Respect the rights of other users and third parties. 8. Seller's Rights and Responsibilities RestoCor undertakes to: Provide the services with reasonable availability; Inform users about planned maintenance when applicable; Process personal data in accordance with applicable laws. Temporary service interruptions may occur due to maintenance, security updates, force majeure events, or technical reasons. 9. Pricing The prices displayed on the Platform may be shown inclusive or exclusive of applicable taxes unless otherwise stated. RestoCor reserves the right to modify its pricing at any time. Updated prices apply only to new purchases and subscription renewals. 10. Right of Withdrawal Under applicable consumer protection laws, including regulations governing distance contracts, the right of withdrawal may not apply to digital content or digital services that are delivered immediately after purchase with the consumer's explicit consent. The Buyer expressly acknowledges and agrees that the digital service will begin immediately after payment, and therefore the statutory right of withdrawal may not apply where permitted by applicable law. 11. Cancellation and Refunds Cancellation and refund requests are governed by the Cancellation and Refund Policy published on the Platform. 12. Force Majeure Neither party shall be liable for failure or delay in performing its obligations due to events beyond its reasonable control, including but not limited to: Natural disasters War Terrorist acts Internet infrastructure failures Power outages Government actions Other force majeure events 13. Intellectual Property All intellectual property rights related to the Platform, including but not limited to: Software Design Logos Trademarks Content remain the exclusive property of RestoCor or its licensors. The Buyer may not reproduce, distribute, modify, or commercially exploit any part of the Platform without prior written permission. 14. Governing Law and Dispute Resolution This Agreement shall be governed by the laws applicable to the Seller's jurisdiction. Any disputes arising out of or relating to this Agreement shall be resolved before the competent courts and authorities in accordance with applicable law. 15. Amendments RestoCor reserves the right to modify this Agreement at any time. Any revised version becomes effective upon publication on the Platform. 16. Entry into Force By completing an order through the Platform, the Buyer confirms that they have read, understood, and accepted this Agreement. This Agreement is concluded electronically and becomes effective upon successful completion of the order.
